TERMS OF AGREEMENT

This Terms of Service Agreement (the "Agreement") is made effective as of March 3, 2024, by and between Vision Marketing and Design LLC (hereinafter referred to as the "My Vision Agency™"), with its principal place of business located at 433 N Capitol Ave Ste 100, #123, Indianapolis, IN 46204 and the individual or entity (hereinafter referred to as the "User") identified as having agreed to the terms and conditions set forth in this Agreement.

WHEREAS, My Vision Agency™ operates in the Marketing industry and offers a program for free when one of the chosen affiliate links is used, unless the User chooses the annual plan; and

WHEREAS, My Vision Agency™ retains the right to cancel the membership for any reason it deems appropriate and deny the free membership to anyone, at any time, at its sole discretion; and WHEREAS, My Vision Agency™ does not offer refunds for any paid plans for any reason;

NOW, THEREFORE, in consideration of the premises and mutual covenants contained herein, My Vision Agency™ and the User (collectively referred to as the "Parties") agree as follows:

ACCEPTANCE OF TERMS: By accessing or using My Vision Agency™'s program or services, the User agrees to be bound by the terms and conditions set forth in this Agreement. If the User does not agree with these terms and conditions, they must cease using My Vision Agency™'s program immediately.

FREE MEMBERSHIP: My Vision Agency™ offers a free Starter plan to Users who utilize one of the chosen affiliate links. This free membership is subject to the User's compliance with My Vision Agency™'s terms and conditions, as specified herein.

CANCELLATION OF MEMBERSHIP: My Vision Agency™ reserves the right to cancel the User's free membership for any reason it deems appropriate, without prior notice or explanation. Once an account has been suspended for any reason, free or paid, the user has 7 days to reactivate the account or it will be canceled and deleted. Paused accounts still incur charges that we will not be responsible for. If transferring to another High Level account, we will create a snapshot for Software Bundle customers for a one time fee. Resellers do not have permission to use any of our resources unless they are an active member of our program.

DENIAL OF MEMBERSHIP: My Vision Agency™ retains full discretion in denying the free membership to anyone, at any time, without providing a reason for denial.

DISQUALIFICATION OF MEMBERSHIP: My Vision Agency™ will revoke access to any free plan member who falls below the commission threshold required for our free membership. Currently, this is $38 monthly. This commission is generated by the affiliate offer that was used to receive the free membership.

MINIMUM ADVERTISED PRICING: When reselling any of our software, you must adhere to the minimum advertised pricing of each plan. For the A.I. ads manager, you must not publicly resell all of the features for less than $97 a month. This can be combined with any of your other offers.

REFUND POLICY: My Vision Agency™ does not offer refunds for any paid plans, under any circumstances. We will not make exceptions to this policy. If you decide to dispute this charge, or leave us a negative review for this reason, we will submit all documentation to show you were aware of this policy when making the purchase, not limited to the checked box in the order form. We will not be intimidated to change our policy.

COMPLIANCE: As software resellers, we are beholden to the terms of use provided by each software we resell. This means we are obligated to do our due diligence to ensure all of our clients follow those same terms of use. For example, white label software can not be connected to domains that contain the name of the original brand. This is a misrepresentation of the brand itself. Affiliates using the brand name in the domain must include a disclaimer that you are an affiliate and not a representative of the company you are affiliated with. These terms may change at anytime as they are updated by each of the companies themselves.

INTELLECTUAL PROPERTY: The User acknowledges and agrees that all rights, title, and interest in any intellectual property related to My Vision Agency™'s program or services (including but not limited to trademarks, copyrights, and patents) shall remain the sole property of My Vision Agency™. Using our content outside the Fair Use act, will result in legal action.

LIMITATION OF LIABILITY: In no event shall My Vision Agency™ be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the program or services provided. The User expressly agrees that their use of the program is at their sole risk.

GOVERNING LAW: This Agreement shall be governed by and construed in accordance with the laws of the state of Indiana, without regard to its conflicts of laws principles.

ENTIRE AGREEMENT: This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements, understandings, or proposals, whether written or oral, with respect to the subject matter hereof.

By continuing to use My Vision Agency™'s program or services, the User acknowledges and agrees to be bound by the terms and conditions set forth in this Agreement.

IN WITNESS WHEREOF, the Parties hereto have executed this Terms of Service Agreement as of the date first above written.
